Partner Program Terms

These terms apply to the Inspired Theme Partner Program run by Inspired Commerce LLC (“we”, “us”). By applying to or taking part in the program, you agree to the terms below.

The program and who may join

The Inspired Theme Partner Program (“the Program”) lets agencies, freelancers and Shopify Partners (“you”, “the Partner”) build client stores on any Inspired theme using a temporary agency key, and earn a commission when a client you referred or built for buys a paid plan.

You join by submitting the application form and being approved by us. We approve or decline applications at our discretion and aim to answer within 3 business days. Approval creates your agency key, your affiliate link and your partner portal account, and is the moment these terms start to apply to you.

By ticking the terms box on the application form, or by using the agency key, the affiliate link, the partner portal or any theme download provided under the Program, you accept these terms. If you do not accept them, do not use them and tell us so we can close your account.

You must be at least 18, able to enter a binding agreement, and building stores for clients as a business. One Program account per person or company.

Your agency key and client trials

Your agency key lets you run any Inspired theme, with all its features, on a client’s store for a fixed trial period so that you can build the store before the client buys a plan. The trial period is the one you chose on your application (14, 21 or 30 days) and applies to every store you activate. It can be changed only by asking us.

A trial starts the first time the key is validated on a store and ends exactly that many days later, to the hour. The end date is shown in your partner portal from the moment of activation.

Each store (identified by its myshopify.com domain) can be put on trial once, ever, by any Partner. A store that has already had a trial cannot be activated again.

You may activate up to 5 new stores per calendar month. If you need more, ask us; we raise the limit for Partners with a track record.

The agency key is for stores you are building for a client who intends to run them. It is not a licence for your own store, a permanent demo, a template store or any store that is not going to be offered a paid plan. It must not be shared, published, resold or entered on a store by anyone other than you or your team.

The key is personal to your Program account. If we suspend or close your account, the key stops working on every store that still uses it.

When a trial ends

When a trial ends and the store is not on a paid Inspired Theme plan, the theme locks the storefront. Visitors see a licence notice instead of the store until a valid Pro licence key is entered in the theme settings. The store’s content, settings and sections are not deleted; they return as soon as a Pro key is entered.

It is your responsibility to tell the client, before you start the build, that the store runs on a time-limited trial, when it ends, and that it will be locked at that time unless a plan is purchased. We do not contact your clients about their trial; we notify you by email 2 days before the end and on the day the store is locked.

You and the client decide when to buy: before the build starts, during the trial, or after the lock. The lock is not a penalty and nothing is lost by it, but a locked store is a client experience you are responsible for avoiding.

A paid plan is bought from us at inspiredtheme.com, by you or by the client, and is subject to our ordinary licence terms. The licence key is sent to the email used at checkout; whoever holds it enters it in the store’s theme settings in place of the agency key.

Theme downloads

Your partner portal lets you download the current version of every Inspired theme so that you can install them on client stores you are building under the Program. Each download is recorded against your account.

Theme files are our copyrighted software and are licensed, not sold. You may install them only on stores you are building for a client under an agency-key trial or a paid plan. You may not share, publish, sell, rent, sublicense or distribute the files or any part of them, use them to build a competing theme, or remove or alter the licence validation code.

Every installed copy remains subject to the licence check. A store that is not on a trial or a paid plan is locked, whatever file it was installed from.

Commissions

You earn a commission on paid plans bought by clients you referred. A client is referred when either of these is true: the purchase was made through your affiliate link within 90 days of the click, or the store on which the plan’s licence key is first used was activated with your agency key within the previous 90 days. A purchase that meets neither test is not referred, however the client found us.

Commissions are calculated on the amount we actually receive for each charge, after any discount:

First paid month of a monthly plan: 100%.

Every later month of that plan: 25% of each charge, for as long as the subscription continues.

One-time plans (Essentials, Pro Lifetime, Max Lifetime): 30%, once.

Plan upgrades: the new charge is treated like any other charge at the rate for that month; there is no second first-month commission.

Commissions are tracked and calculated in our affiliate platform (Affonso). You can see your referrals, pending and approved commissions and payouts there, through the Earnings button in your partner portal. The platform’s record is final unless you show us a tracking error within 30 days of the sale.

Each purchase has one referral. If two Partners could claim the same client, the affiliate link used at purchase wins; if no link was used, the Partner whose agency key activated the store wins.

We may change the rates for future sales with 30 days’ notice by email. Commissions already earned are not affected.

Payouts

Commissions are held for 30 days after the charge, then become payable. Payouts are made monthly by PayPal to the PayPal email in your affiliate account, once your payable balance reaches USD 25. Balances below that roll over to the next month.

If a charge is refunded, charged back or cancelled, the commission on it is cancelled. If it was already paid out, we deduct it from your next payout.

Payouts are made in USD. PayPal’s fees and any currency conversion are yours. We do not pay commissions on taxes, payment-processor fees or discounts.

You are responsible for any tax on your commissions. We may ask for tax information before paying out and may withhold where the law requires.

What you may not do

No self-referral. A purchase made with your own email, for your own store or on your own behalf, earns no commission, whether it went through your link or through the agency-key test. If you pay for a client, check out with the client’s email.

No misuse of the agency key: no sharing it, no activating stores that are not real client projects, no repeated activations to keep a store running without paying, and no use on your own or a template store.

No misleading promotion. Do not present yourself as Inspired Theme, use our name or logo in a way that suggests you are us, make claims about the theme we do not make, or promise pricing, features or support we do not provide.

No paid search on our brand. Do not bid on “Inspired Theme”, “inspiredtheme” or close variants, and do not use them in ad display URLs.

No coupon or deal-site posting of your link, no unsolicited email or messages, no cookie stuffing, and no iframes, redirects or scripts that set the referral without a real click.

Disclose the relationship where the law requires it (for example, an “affiliate link” note next to the link in content you publish).

Do not alter, remove or circumvent the licence validation in the theme, on your stores or anyone else’s.

Suspension and termination

Either of us can end your participation at any time by email. You can stop using the key and the link whenever you like.

We may suspend or close your account immediately if you break any of the rules under “What you may not do”, if we see activity that looks like abuse of the agency key (for example an unusual number of activations, activations on stores that never open, or repeated trials that never convert), if a client complains that they were not told about the trial, or if your account is inactive for 12 months.

When your account is suspended or closed, your agency key stops working at once; stores still on a trial with it are locked until they are placed on a paid plan. Your affiliate link stops referring new clients.

Commissions already approved are paid at the next payout, unless the account was closed for breaking the rules under “What you may not do”, in which case unpaid commissions are forfeited. Commissions on charges that recur after closure are not paid.

The sections on theme downloads, cancelled commissions, payment after closure, your relationship with us, our responsibilities and limits, and changes, governing law and contact continue to apply after your participation ends.

Your relationship with us

You are an independent business, not our employee, agent or representative. You cannot make commitments on our behalf, and you must not describe yourself as our partner in any sense other than a member of this Program.

Your clients are yours. We do not contact them about the Program, and we do not use your activations to market to them. A client who buys a plan becomes our customer for that licence, under our ordinary licence terms, and we support them on the theme as we support any customer.

You keep your own records, pay your own taxes and costs, and comply with the laws that apply to your business, including advertising and privacy law in the places you promote.

Our responsibilities and limits

We will keep the agency key, the partner portal and the affiliate tracking working with reasonable care, pay approved commissions as set out under “Payouts”, and tell you about changes to the Program in advance where we can.

The Program, the theme, the portal and the tracking are provided as they are. We do not promise that tracking will capture every sale (for example, where a visitor blocks cookies), and a sale that was not tracked and does not meet the agency-key test is not a referred sale.

To the extent the law allows, we are not liable to you for lost profits, lost business or indirect loss arising from the Program, and our total liability to you in any 12-month period is limited to the commissions we paid you in that period.

You are responsible for the stores you build and for what you tell your clients. You agree to cover us for claims that arise from your breaking the rules under “What you may not do” or from your dealings with your clients.

Changes to these terms

We may change these terms. We will email you at least 30 days before a change takes effect, except for changes required by law, which take effect when we notify you. Using the key or the link after that date means you accept the new terms; if you do not, stop using them and tell us.

These terms, together with our website terms, privacy policy and theme licence terms, are the whole agreement between us about the Program. If any part is found invalid, the rest still applies.

Governing law

These terms are governed by the laws of [STATE / COUNTRY], and disputes are resolved in the courts of Colorado US, unless the law where you live gives you other rights that cannot be excluded.
