Terms & Conditions - Third-party Theme Setup

1. Overview

These Terms & Conditions (“Terms”) govern the Store Setup Service for third-party themes (“Service”) provided by InspiredTheme (“we/us/our”) to the client (“you/your”). By purchasing the Service, you agree to these Terms.

 

2. Definitions

Third-party theme: any Shopify theme not developed by InspiredTheme (e.g., Shopify’s Dawn, or themes from other developers via the Shopify Theme Store or marketplaces like ThemeForest)

 

3. Eligibility & Requirements

An active Shopify store (store owner available to approve collaborator access).
A purchased/owned third-party theme installed in your store (unpublished is fine) or a licensed theme ZIP.

Important: InspiredTheme does not supply, resell, or license third-party themes. A valid license is required.

 

4. Third-Party Theme Ownership & Compliance

You are responsible for ensuring you legally own and are licensed to use the third-party theme. If a theme is pirated, nulled, or otherwise illegal, you are fully responsible for any issues, claims, or damages arising from illegal use.

 

5. Refunds & Cancellations

  • Before work begins: if you cancel before we start (no access/assets provided), a refund may be issued minus payment/processing fees.
  • After setup is done: once the setup is completed and handed over, the refund window is closed. We remain available during the revision window to adjust the layout so it meets expectations.
  • If the Service is canceled due to licensing or policy breaches (e.g., illegal theme), no refund is due.

 

6. Pricing & Payment

Pricing is fixed for the published base scope; add-ons and custom requests are quoted separately. Applicable taxes are added at checkout. Work begins after payment is received.

 

7. Access & Security

You authorize collaborator access with the necessary permissions. Access may be revoked after acceptance. Store data is handled confidentially and used only to perform the Service.

 

8. Client Responsibilities

Provide accurate information, timely approvals, and required assets (logos, copy, images).

Ensure licenses for any third-party assets supplied (fonts, images, apps).
Review deliverables within stated timelines and communicate changes clearly.

 

9. Third-Party Services & Dependencies

We are not responsible for outages, bugs, policy changes, or limitations of Shopify, third-party themes, or apps. Any incompatibilities discovered during setup may require adjustments, alternative approaches, or add-on work.

 

10. Intellectual Property

  • You retain rights to your brand assets and store content.
  • The third-party theme remains subject to its original license.
  • Our documentation and process materials remain our intellectual property.

 

11. Portfolio & Showcase

Unless you opt out in writing, the project (screenshots, store name/logo) may be referenced in our showcase after go-live. To opt out, email tracy@inspiredtheme.com

 

12. Limitation of Liability

To the fullest extent permitted by law, liability for any claim arising from the Service is limited to the amount paid for the Service. Specific commercial outcomes (sales, rankings, scores) are not warranted.

 

13. Changes to These Terms

These Terms may be updated periodically. The version in effect at the time of purchase applies to that engagement.
